Regulation FD Disclosure.

On February 5, 2019, Office Depot, Inc. (the “Company”) announced that its Board of Directors has declared a quarterly cash dividend on the Company’s common stock of $0.025 per share, payable on March 15, 2019, to shareholders of record at the close of business on March 1, 2019. The Company’s February 5, 2019 press release announcing the declaration of the dividend, a copy of which is attached hereto as Exhibit 99.1, is incorporated herein by reference.

OFFICE DEPOT DECLARES QUARTERLY CASH DIVIDEND OF $0.025 PER SHARE

Boca Raton, Fla. February 5, 2019 — Office Depot, Inc. (NASDAQ: ODP), a leading omni-channel provider of business services, products and technology, today announced that its Board of Directors declared a dividend of $0.025 per share ($0.10 per share on an annualized basis) on the common stock of the Company. The dividend is payable on March 15, 2019, to shareholders of record at the close of business on March 1, 2019.
