Item 7.01. Regulation FD Disclosure.
On January 2, 2024, The ODP Corporation (“ODP” or the “Company”) issued a press release in connection with the expiration of the previously disclosed Cooperation Agreement, dated January 25, 2021 and amended on December 30, 2021 and December 27, 2022, between the Company and HG Vora Capital Management, LLC (the “Cooperation Agreement”) and the effectiveness of the resignation of Marcus B. Dunlop, partner at HG Vora Capital Management, LLC, from the Board of Directors of the Company pursuant to the previously disclosed irrevocable resignation letter, dated December 27, 2022 and effective December 31, 2023, in accordance with the Cooperation Agreement. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

The ODP Corporation Announces HG Vora Representative Steps Down from Board of Directors
BOCA RATON, Fla, January 2, 2024 The ODP Corporation (ODP, or the Company) (NASDAQ:ODP), a leading provider of business services, products and digital workplace technology solutions to businesses and consumers, today announced that, following the expiration of the January 2021 Cooperation Agreement between the Company and HG Vora, Marcus Dunlop, partner at HG Vora, has stepped down from the ODP Board of Directors, effective December 31, 2023.
We greatly appreciate Marcus Dunlops service as a Board member over the past three years, said Joseph S. Vassalluzzo, Chairman of ODPs Board. The Board thanks him for his insightful perspectives during his time as a Director and respects his decision to step down at this time. HG Vora continues to be an important independent shareholder of ODP.
I have seen firsthand ODPs commitment to creating shareholder value through its focus on efficient operations, said Marcus Dunlop, partner at HG Vora. We remain supportive of the Boards ongoing efforts to execute on its long-term strategy and shareholder-focused capital allocation plan.
HG Vora owns 3.0 million shares, or approximately 8% of the Companys outstanding common stock.
